Works include, but are not limited to, provision of new carriageway to provide single carriageway standard, an agricultural underpass, a viaduct, an overbridge, earthworks, drainage, including Sustainable Drainage Systems (SuDS), road markings, signing, street lighting, vehicle restraint systems, accommodation works, service diversions, environmental mitigation measures, mine consolidation works, and following completion a 5 year period of maintenance for landscaping, replacement of road markings and defect rectification will apply. However, the successful tenderer will not be required to carry out ongoing cyclic maintenance, which shall instead be carried out by a third party appointed by the Scottish Ministers.

Section III: Legal, Economic, Financial and Technical Information

III.1)

Conditions Relating to the Contract

III.1.1)

Deposits and guarantees required

To be set out within the Invitation to Participate in Dialogue ("ITPD") documents, the Invitation to Submit Final Tender ("ISFT") documents and the contract which the successful participant will enter into with the Scottish Ministers ("A737 Dalry Bypass Contract"). Economic operators will be required to accept any requirement to provide collateral warranties, parent company guarantees and a retention bond which are set out in the A737 Dalry Bypass Contract. A Retention Bond in lieu of retention will be an option available to Tenderers.

III.1.2)

Main Terms of financing and payment and/or reference to the relevant provisions

The A737 Dalry Bypass Contract will be a fixed price contract with payments by instalments on interim valuations based on part completed milestones. Details of payments and protocols for establishing milestones shall be provided within the ITPD documents, the ISFT documents and the A737 Dalry Bypass Contract.

III.1.3)

Legal form to be taken by the grouping of suppliers, contractors or service providers to whom the contract is to be awarded

If the successful tenderer is a consortium, the Scottish Ministers shall require each member to be jointly and severally liable pursuant to the A737 Dalry Bypass Contract. The Scottish Ministers may require the consortium to form a legal entity before entering into the A737 Dalry Bypass Contract.

III.1.4)

Other particular conditions to which the performance of the contract is subject

The successful economic operator shall be required to support the Scottish Ministers economic and social regeneration objectives. Accordingly, the successful economic operator shall be required to comply with social and environmental conditions which shall be included in the A737 Dalry Bypass Contract.

For example, the successful economic operator shall be required to secure the creation of a specific number of training opportunities and a specified number of employment opportunities for unemployed persons in connection with the A737 Dalry Bypass Contract.

Similarly, the successful economic operator shall be required to advertise all subcontractor and supplier opportunities through the Public Contracts Scotland portal (www.publiccontractsscotland.gov.uk, which have not already been committed to prior to the contract commencement date. Such opportunities shall be procured in a fair, open, transparent and competitive process proportionate to the nature and value of the requirement.

Conditions for Participation

III.2.1)

Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers


Economic Operators will be evaluated in accordance with the Public Contracts (Scotland) Regulations 2012, on the basis of information provided in response to a Prequalification Questionnaire ("PQQ"), which forms part of the prequalification document (Refer to Section VI.3).

III.2.2)

Economic and financial capacity


As III.2.1



Economic operators shall be required to satisfy minimum standards of economic and financial standing. These are described in detail in the PQQ. The financial information received as part of each PQQ submission shall be evaluated and scored out of 50 by allocating a score against nine individual economic and financial standing evaluation criteria ratio. The maximum cumulative score resulting from the summative of the nine economic and financial standing evaluation criteria ratio is 50 marks. A PQQ submission shall be marked as a FAIL and will not be considered further if the score achieved is less than fifty percent of the available marks (i.e. less than 25 marks).

Similarly, a PQQ submission shall be marked as a FAIL if the economic operator or group of economic operators do not have or are not able to commit to obtain the required level of insurance.


III.2.3)

Technical capacity


As III.2.1



Economic operators shall be required to satisfy minimum standards of technical capacity or professional ability. These are described in detail in the PQQ and can be summarised as:

a) demonstration of experience of working on projects of similar works, scope, size and/or complexity (the requirements are set out in full in the PQQ).

b) demonstration of quality, environmental and health and safety management systems (the requirements are set out in full in the PQQ);

c) demonstration of competence to be able to perform delegated duties in accordance with the Construction (Design and Management) Regulations 2015, together with the provision of written undertakings required pursuant to these regulations; and

d) in respect of the questions on demonstration of relevant experience in Section 5.4 of the PQQ, economic operators are required to score 50 per cent or more of the available maximum weighted evaluation score for each question.

Objective criteria for choosing the limited number of candidates

The Scottish Ministers intend to invite 4 economic operators to participate in dialogue. These economic operators shall be those 4 economic operators who have:

(a) submitted a compliant PQQ Submission;

(b) gained a PASS in respect of the eligibility and minimum standards of technical or professional ability conducted pursuant to the Prequalification Prospectus;

(c) gained a PASS in respect of the financial evaluation conducted pursuant to the Prequalification Prospectus;

(d) scored 50 per cent or more of the available maximum weighted evaluation score for each question in Section 5.4 of the PQQ; and

(e) achieved the first, second, third or fourth highest weighted scores in respect of technical or professional ability calculated in accordance with the Prequalification Prospectus.

If an economic operator has not submitted a compliant PQQ Submission as described in (a) above, failed in respect of either (b) or (c) above or has not scored 50 per cent or more of the available maximum weighted score for each question in Section 5.4 of the PQQ, as described in (d) above, then that economic operator shall be excluded from the ranking of scores described in (e) above.

Additional Information

Transport Scotland will conduct the proposed procurement process for the A737 Dalry Bypass Contract on behalf of the Scottish Ministers. In the event of the contract award, the A737 Dalry Bypass Contract will be entered into between the Scottish Ministers and the successful participant.

To receive the Prospectus and Prequalification Questionnaire (PQQ), expressions of interest are required to be made by interested parties through the Public Contract Scotland portal (www.publiccontractsscotland.gov.uk).

Completed PQQs should be delivered to Transport Scotland (address identified in Annex A.III) by no later than 1200hrs BST on 18 May 2016.

The Scottish Ministers shall not evaluate any pre-qualification submissions received past the specified deadline, unless the delay is caused by a situation out with the control of the economic operator, the determination of which shall be at the sole discretion of the Scottish Ministers. Compliance with achieving the specified deadline is the sole responsibility of the economic operator (including obtaining evidence of receipt by Transport Scotland on behalf of the Scottish Ministers).

Economic operators which alter their composition after making a pre-qualification submission will be the subject of re-evaluation.

The Scottish Ministers reserve the right not to award any contract as a result of the procurement process initiated by this notice and to make whatever changes the Scottish Minsters deem appropriate to the content, process, timing and structure of the procurement process.

Transport Scotland and the Scottish Ministers shall have no liability for any costs howsoever incurred by those participating in the pre-qualification procedure and if an economic operator is selected to submit a tender the Scottish Minister shall have no liability for any costs howsoever incurred by those participating in the tender process.

The Construction (Design and Management) Regulations 2015 (CDM Regulations) came into force on 6 April 2015, replacing CDM 2007. It is intended that for this contract, the successful economic operator shall be appointed to fulfil the duties of the Principal Contractor and Principal Designer under the CDM Regulations. Therefore, participants shall be required to satisfy the Scottish Ministers as to their competence and resources for health and safety and will be willing to accept appointment of “Principal Contractor" and “Principal Designer” and the duties thereof in accordance with CDM Regulations.

Economic operators should be aware that all information submitted to the Scottish Ministers may need to be disclosed and / or published by the Scottish Ministers in compliance with the Freedom of Information (Scotland) Act 2002 and the Environmental Information (Scotland) Regulations 2004.

The date referred to in paragraphs IV.3.5 of this notice is provisional.

The range given in Section II.2.1 of this notice is an estimated range.

The Contractor shall ensure that all contracts with Subcontractors and Suppliers which the Contractor intends to procure following the Commencement Date, and which the Contractor has not, before the date of this Contract, already planned to award to a particular Subcontractor or Supplier, are advertised through the Public Contracts Scotland procurement portal (www.publiccontractsscotland.gov.uk) and awarded following a fair, open, transparent and competitive process proportionate to the nature and value of the contract. The Contractor shall publish all contract award notices through the Public Contracts Scotland procurement portal.

Under the terms of this contract the successful supplier(s) will be required to deliver Community Benefits in support of the authority’s economic and social objectives. Accordingly, contract performance conditions may relate in particular to social and environmental considerations. The Community Benefits included in this contract are:

(i) a minimum of 2 vocational training site-based places (average per annum) for persons undertaking a vocational construction skills training course leading to the award of a Scottish Vocational Qualification (SVQ) Level 2 or equivalent qualification;

(ii) a minimum of 2 professional training site-based places (average per annum) for persons undertaking a professional engineering training scheme recognised and accredited by a national professional body (such as the Institution of Civil Engineers) and leading to membership of the professional body at technician or chartered level or equivalent; and

(iii) The successful economic operator or group of economic operators shall procure that all site-based employment opportunities (including those with sub-contractors) are notified to job centres (including local job centres) at the time they become available.
